AI Optimiser – Terms of Service

1. Eligibility

To use the Service, you must:

By using the Service, you represent and warrant that you meet all requirements above and that your use of the Service will not violate any laws or regulations. AI Optimiser may refuse service, close accounts, or modify eligibility criteria at its sole discretion.

• Be at least eighteen (18) years old and legally capable of entering into contracts.
• Complete the account registration process truthfully.
• Agree to these Terms and any incorporated policies.
• Provide accurate and current contact, billing, and account information.
• Not be located in a jurisdiction subject to comprehensive embargoes or sanctions.
• Not appear on any government list of prohibited or restricted parties.

2. Term

The agreement between you and AI Optimiser (Oxira LLC) begins when you create an account and accept these Terms. The term continues until your account is closed by you or us. If you register on behalf of a company or legal entity, you represent that you are authorized to accept these Terms on its behalf.

3. Account Closure

You or AI Optimiser may terminate the agreement at any time and for any reason. You may do so by closing your account. We may do so by notifying you of closure. We may suspend or discontinue the Service at any time with or without cause.

Refunds will only be issued if explicitly described in these Terms. If your account remains inactive for more than 24 months, AI Optimiser may close it and permanently delete all associated data, including AI entities, knowledge spaces, and monitoring data. Usernames are unique and cannot be reused once an account is terminated.

4. Changes

We may update these Terms at any time by publishing revised versions on the AI Optimiser website. Updated Terms take effect on the date specified. Continued use of the Service after that date constitutes acceptance.

We may modify, suspend, or discontinue any features, add-ons, or the Service entirely at any time. We are not liable for such changes.

5. Account Security and Passwords

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use.

AI Optimiser is not responsible for losses arising from stolen or hacked passwords. We cannot access your current password but can provide reset instructions. You agree that all information provided during registration and use remains accurate and up to date.

6. Account Conflicts

We are not responsible for disputes regarding ownership of an account. We will determine ownership based on the information provided in the account, including contact and billing data. If a conflict cannot be resolved, we may suspend the disputed account until the parties resolve the matter independently.

7. Subscription Plans and Credits

AI Optimiser offers trial, setup, and ongoing subscription options. Pricing, limits, and features vary by plan and are published on the AI Optimiser website.

If you exceed the usage limits of your plan (e.g., number of AI entities, knowledge blocks, API calls, or monitoring queries), additional charges may apply. In such cases, these charges will appear on your invoice and must be paid by the next billing date.

Trial phases are limited in scope and functionality. If you wish to continue using the full Service after the trial, you must proceed with the Setup phase and ongoing subscription.

AI Optimiser may also provide additional credits for extended services, which expire twelve (12) months after purchase, have no cash value, and cannot be refunded.

8. Trial Periods

AI Optimiser offers a 7-day free trial period. During this trial, you can analyze how AI systems currently perceive your company. After the trial expires, you may proceed with the Setup phase to build your full AI presence.

Free trials cannot be combined with other promotions. Trial access is limited to analysis features only.

9. Promotional Offers

From time to time, AI Optimiser may offer introductory discounts on subscription fees. Such offers are temporary, limited in duration, and subject to cancellation at AI Optimiser's discretion. After the promotional period, the subscription automatically renews at the then-current standard rate unless cancelled.

Promotions have no cash value and cannot be transferred. Accounts in violation of AI Optimiser's Acceptable Use Policy are not eligible.

10. Knowledge API Access

AI Optimiser provides access to your structured knowledge via a Knowledge API. API access is included in the ongoing subscription. Additional API calls beyond your plan limits may incur extra charges.

11. Dashboard and Monitoring

AI Optimiser provides a live dashboard for monitoring your AI visibility. Dashboard access requires an active subscription. Historical data retention periods vary by plan.

12. Payment Methods

You must provide valid debit or credit card details or another accepted payment method to subscribe to the Service. By providing payment details, you authorize AI Optimiser to charge all applicable fees.

You are responsible for keeping payment information current. If a card expires or is replaced, you must update your account. If a payment processor automatically replaces your card, you authorize AI Optimiser to charge the replacement card.

AI Optimiser may suspend accounts if payments cannot be processed.

13. Refunds

All fees are non-refundable unless explicitly stated in these Terms. AI Optimiser may, at its sole discretion, issue credits or refunds, but is not obligated to do so.

Setup fees are non-refundable once work has commenced. Ongoing subscription fees may include a limited money-back guarantee period, specified at the time of purchase.

14. Add-ons

Certain features or services may be offered as paid add-ons. Charges for add-ons will appear on your billing statement and may require upfront payment. Add-ons are subject to the same Terms as your base subscription.

15. Billing Changes and Taxes

AI Optimiser reserves the right to adjust pricing or billing structures at any time by posting updated fees on its website and/or notifying you by email. Continued use of the Service constitutes acceptance of such changes.

Fees do not include applicable taxes. You are responsible for all sales, value-added, or other transaction-based taxes related to your use of the Service. If AI Optimiser is required to collect taxes, these will be added to your invoice.

18. Privacy

AI Optimiser values the protection of your personal data. Please review our Privacy Policy for details on how we collect, use, and safeguard information.

AI Optimiser acts primarily as a data processor when handling customer data for AI entity modeling and knowledge structuring. In some cases, such as for billing, security, or product improvement, AI Optimiser acts as a data controller.

AI Optimiser implements appropriate technical and organizational measures to protect data, including encryption, access controls, and regular system reviews. However, no method of transmission over the internet is completely secure, and AI Optimiser cannot guarantee absolute security.

19. Use of Data

You agree that AI Optimiser may process, analyze, and aggregate data for operational and product development purposes, provided that such data is anonymized and cannot identify you or your company.

You are responsible for ensuring that all company information and knowledge content you provide to AI Optimiser is accurate and does not infringe on third-party rights.

20. Security Incidents

If AI Optimiser becomes aware of a security breach involving your data, we will notify you without undue delay if required by law. Notification does not imply acknowledgment of liability.

21. General Rules

By using the Service, you agree to comply with the following:

AI Optimiser may suspend or terminate accounts that violate these rules at its sole discretion.

• No misleading or false company information in AI entity profiles.
• No use of the Service to manipulate AI systems with false or deceptive content.
• No distribution of content that is illegal, abusive, hateful, discriminatory, or harmful.
• No use of the Service for fraud, scams, or deceptive practices.
• No attempt to bypass security measures or gain unauthorized access.

22. Abuse Reporting

If you believe that another user is violating these Terms or using AI Optimiser for abusive purposes, please report it immediately via mail@oxira.one.

23. API and Infrastructure Usage

You may use AI Optimiser's infrastructure (servers, APIs, storage, dashboard) only for legitimate use of the Service. Excessive API calls, automated scraping, or data unrelated to the Service is prohibited. AI Optimiser reserves the right to throttle or suspend accounts abusing system resources.

24. Compliance with Laws

You are responsible for ensuring that your use of AI Optimiser complies with all applicable laws and regulations, including but not limited to:

If you use AI Optimiser in jurisdictions with special regulatory requirements, you are responsible for ensuring compliance.

• Data protection and privacy laws (e.g., GDPR, CCPA, or equivalents)
• Intellectual property and trademark regulations
• Export control and sanctions regulations
• Consumer protection and advertising standards

25. Limitation of Liability

To the maximum extent permitted by law, you acknowledge and agree that:

• You use the AI Optimiser Service at your own risk.
• AI Optimiser shall not be liable for indirect, incidental, punitive, or consequential damages, including lost profits, lost data, business interruption, or reputational harm, even if we were advised of the possibility of such damages.
• AI Optimiser's total liability in any calendar month shall not exceed the amount you paid to AI Optimiser for the Service during that month.
• You remain solely responsible for the accuracy, legality, and integrity of your company information, knowledge content, and data.

26. Indemnification

You agree to indemnify, defend, and hold harmless AI Optimiser (Oxira LLC), its affiliates, employees, and contractors from and against any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service,
• Your violation of these Terms,
• Any content or data you provide through the Service,
• Any infringement of third-party rights, or
• Your misuse of AI visibility features or knowledge outputs.

27. No Warranties

The Service is provided "as is" and "as available." AI Optimiser disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, error-free, or completely secure operation of the Service. AI visibility results may vary based on AI system behavior which is outside our control.

28. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, excluding its conflict of law principles.

29. Arbitration and Disputes

Any dispute, claim, or controversy arising out of or relating to the Service or these Terms shall be resolved by binding arbitration, except where small claims court jurisdiction applies.

• Arbitration shall be conducted in English.
• The arbitrator's decision shall be final and binding.
• Both parties waive the right to a jury trial and to participate in class actions.

30. Informal Resolution

Before filing a formal claim, both parties agree to attempt to resolve disputes informally in good faith.

31. Force Majeure

AI Optimiser is not liable for delays or failures caused by events outside its reasonable control, including natural disasters, power outages, cyberattacks, AI system changes by third parties, or government actions.

32. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain valid and enforceable.

33. No Waiver

Failure by AI Optimiser to enforce any right under these Terms shall not constitute a waiver of such right.

34. Assignment

You may not transfer or assign these Terms without prior written consent from AI Optimiser. AI Optimiser may assign these Terms without restriction.

35. Entire Agreement

These Terms, along with the Privacy Policy, constitute the entire agreement between you and AI Optimiser (Oxira LLC) regarding the Service and supersede any prior agreements.

36. Notices

All official notices will be sent by email to the address provided in your account or published on our website. You must keep your contact details current.
